Welcome to Zeitgeist Intelligence Market Technologies FlexCo, a competitive intelligence platform operated by Zeitgeist Intelligence Market Technologies FlexCo ("we", "our", or "us"). By accessing or using our services, you agree to comply with and be bound by the following Terms of Service ("Terms"). Please read these Terms carefully. If you do not agree to these Terms, you must not use our services.

1. Acceptance of Terms

By using our services, you agree to these Terms and any policies or guidelines referenced herein. If you are using the services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Services Provided

Zeitgeist Intelligence Market Technologies FlexCo provides a platform for Competitive and Market Intelligence, including but not limited to research, analysis, and distribution of competitive insights.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms to use our services.

4. Account Registration

To access certain features of our services, you must register for an account. You agree to provide accurate and complete information during the registration process and to keep your account information up-to-date. Zeitgeist Intelligence Market Technologies FlexCo requires business domain-related emails, and not generic email provider (@gmail; @hotmail; etc.).

5. Use of Services & Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not:

• Use our services in any manner that could disable, overburden, damage, or impair the services or interfere with any other party's use of the services.

• Attempt to gain unauthorized access to any part of the services or its related systems or networks.

• Permit any parent companies, subsidiaries, affiliated entities, or third parties that directly compete with Provider's competitive intelligence services to access the Software or any data generated thereby. This includes indirect access such as screen sharing during calls, forwarding reports to competitors, or providing login credentials to competing organizations.

• Use the Services on behalf of, or for the benefit of, any direct competitor of Zeitgeist Intelligence Market Technologies FlexCo.

• Share, transfer, or provide access to any data, reports, or insights obtained through the Services with any competitor.

• Use the Services to develop, support, or enhance competing products or services.

• Extract, export, or systematically download data or reports for the purpose of feeding such data into competing intelligence platforms or developing competing services.

6. Competitor Definition

For purposes of this Agreement, a "Competitor" means any entity whose primary or substantial business involves providing competitive intelligence, market research platforms, or business intelligence software focused on competitive analysis.

7. Data Ownership & Licensing

7.1 Customer Data

You retain all right, title, and interest in any input data, criteria, or information you provide to the Services to identify targets or conduct analysis ("Customer Data"). You grant Zeitgeist Intelligence Market Technologies FlexCo a worldwide, non-exclusive, royalty-free license to use, process, store, and transmit Customer Data for the purpose of providing the Services to you in accordance with this Agreement.

7.2 Generated Insights & Reports

All insights, reports, analysis, benchmarks, and intelligence generated by the Services ("Generated Insights") are provided to you under a limited, non-exclusive license. While you may use Generated Insights for your internal business purposes, Generated Insights remain the licensed property of Zeitgeist Intelligence Market Technologies FlexCo and incorporate our proprietary methodologies, algorithms, data sources, and analytical frameworks. You may not transfer, sublicense, or redistribute Generated Insights to third parties, including competitors.

7.3 Aggregated Data

Zeitgeist Intelligence Market Technologies FlexCo retains the right to collect, analyze, and use aggregated and de-identified data derived from Customer Data and your use of the Services to improve, enhance, and develop the Services and our business. This aggregated data may not identify you or your organization.

8. Confidentiality Agreement & Trade Secret Protection

You agree to keep confidential any non-public information, trade secrets, or other confidential or proprietary information of Zeitgeist Intelligence Market Technologies FlexCo ("Confidential Information") disclosed to you in connection with your use of our services. Confidential Information includes, but is not limited to, our methodologies, data sources, algorithms, analytical frameworks, and technical specifications. You shall not use or disclose any Confidential Information except as necessary to use the services as permitted under these Terms. You acknowledge that breach of this confidentiality obligation would cause irreparable harm to Zeitgeist Intelligence Market Technologies FlexCo for which monetary damages would be an inadequate remedy, and we reserve the right to seek equitable relief, including injunctive relief, in addition to all other available remedies.

This obligation of confidentiality shall continue for a period of three (3) years after your termination of use of the services.

9. Intellectual Property

All content, features, and functionality of the services, including but not limited to text, graphics, logos, software, and our proprietary methodologies, are the exclusive property of Zeitgeist Intelligence Market Technologies FlexCo and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Competitors using the product in breach of this clause are believed to be in violation and we reserve the right to pursue them for damages.

10. Technical Controls & Monitoring

Zeitgeist Intelligence Market Technologies FlexCo may implement technical measures to enforce these Terms, including but not limited to:

• User authentication and role-based access controls

• Monitoring of platform usage and data access patterns to detect unusual or suspicious activity

• Watermarking, fingerprinting, or tracking of downloaded reports

• API rate limiting to prevent bulk extraction of data

• Automated alerts for data sharing or unauthorized access attempts

• The right to suspend or terminate account access immediately upon detection of suspected policy violations

11. Payment Terms

All payments for the services are due in accordance with the terms set forth at the time of purchase. Delayed payments will carry a monthly interest rate of 1.5%. Fees resulting from failed transactions are the responsibility of the customer and Zeitgeist Intelligence Market Technologies FlexCo may charge for any related fees.

12. Refund Terms

We offer a 7-day trial to ensure you are satisfied with our service before any payment is charged. Recurring charges should be cancelled prior to the next billing cycle to avoid additional charges. Refunds are at the discretion of Zeitgeist Intelligence Market Technologies FlexCo and are typically not issued once a billing cycle has started.

13. Limitation of Liability

To the maximum extent permitted by law, Zeitgeist Intelligence Market Technologies FlexCo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the services.

• Any unauthorized access to or use of our servers and/or any personal information stored therein.

• Any interruption or cessation of transmission to or from the services.

14. Indemnification

You agree to indemnify, defend, and hold harmless Zeitgeist Intelligence Market Technologies FlexCo, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the services or your violation of these Terms.

15. Termination & Breach Remedies

We may terminate or suspend your access to our services immediately, without prior notice or liability, if we believe you have breached these Terms, including but not limited to:

• Providing access to the Services or any Generated Insights to any Competitor

• Sharing Confidential Information with any Competitor

• Using the Services in any manner that benefits a Competitor

• Violating the Acceptable Use Policy in Section 5

Upon termination, your right to use the services will cease immediately and you must cease all use of Generated Insights and Confidential Information.

Liquidated Damages for Competitive Misuse

In the event you breach the Acceptable Use Policy by sharing Generated Insights, data, or access credentials with a Competitor or using the Services in a manner that benefits a Competitor, such breach constitutes a material violation of this Agreement. The parties acknowledge that quantifying Provider's damages from such breach would be inherently difficult, as the competitive harm extends beyond direct revenue loss to include loss of competitive advantage, market position, and proprietary intelligence. You acknowledge that Provider shall be entitled to liquidated damages to be determined by Provider in its reasonable discretion as a pre-estimate of such harm.

Such liquidated damages shall be in addition to any other available remedies, including injunctive relief and claims for actual damages.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria (EU), without regard to its conflict of law principles.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of the services after such changes have been posted constitutes your acceptance of the new Terms.
